Identify corporate exposure to liability and design plan to eliminate exposure.
Support corporate evaluations and decisions regarding acquisitions and mergers, or divestitures, of real estate assets and manage due diligence processes.
Serve as single point of contact for all real estate related issues for the duration of the project.
Negotiate, draft and review all real estate related documents for purchase and sale, lease and sublease, development, architectural design and construction, easements, mortgages and releases.
Preparation of real estate documents in a form recordable in every state and county.
Hire, manage and approve payment for all necessary local counsel retained to bring quiet title actions in various counties.
Hire and supervise title companies to perform title searches and insure owned sites.
Hire and supervise surveys, as needed.
Hire and manage environmental assessment procedures, as needed.
Assist in selection and implementation of real estate management software.
Train corporate employees to identify real estate issues, organize documents and maintain databases for ongoing real estate management functions.
Centralize and standardize all real estate transactions, documents and processes.
Prepare and maintain standard contracts for routine real estate matters and train corporate employees to utilize same and recognize situations when legal review will be necessary.
Support corporate tax department regarding tax responsibility on all owned and leased sites.
Support corporate risk management department regarding sites to be insured, insurance requirements for each agreement and changes in real estate portfolio requiring addition or deletion of coverage.
Support corporate accounting department regarding changes in portfolio affecting accounts receivable and accounts payable.
Assure conformance with the requirements of the Sarbanes-Oxley Act of 2002.
